1. Definitions
   “Company,” “we,” “our,” or “us” refers to Peopl Systems Inc.
   “Client,” “you,” or “your” refers to the business or individual engaging our services.
   “Services” means the advisory, platform, reports, tools, frameworks, and related materials provided by Peopl Systems Inc.

2. Services provided
   Peopl Systems Inc. offers people advisory services, including but not limited to workforce strategy, talent management, people operations design, AI workforce readiness, and related advisory services. We also offer access to the Peopl platform for eligible clients. All services are tailored to client needs and provided based on agreed scopes of work.

3. Use of services
   Clients agree to provide accurate, complete information necessary for the delivery of our services. You must not misuse our services, platform, or any related tools, or use them for unlawful activities.

4. Fees and payment
   All fees will be outlined in a formal proposal or contract. Payment terms are typically 30 days from the invoice date unless otherwise agreed. Late payments may incur interest charges.

5. Intellectual property
   All content, reports, frameworks, and materials created by Peopl Systems Inc. during the engagement remain the property of Peopl Systems Inc. unless explicitly transferred in writing. Clients receive a non-exclusive, non-transferable license to use the materials for internal business purposes.

6. Confidentiality
   Both parties agree to maintain the confidentiality of all sensitive information shared during the course of the engagement, including organizational data, workforce information, and platform data. This obligation continues even after the termination of the services.

7. Liability
   Peopl Systems Inc. shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or platform. Our total liability is limited to the amount paid by the client for the services provided.

8. Termination
   Either party may terminate the engagement with written notice. Clients are responsible for payment for services rendered up to the date of termination.

9. Changes to terms
   We reserve the right to update these Terms and Conditions at any time. The latest version will always be available on our website.

10. Governing law
    These Terms and Conditions are governed by the laws of the Province of Ontario, Canada, and any disputes will be resolved in the appropriate courts of that jurisdiction.​​​​​​​​​​​​​​​​
